General Terms of Use

These Terms of Use ("Terms") apply to the use of the Hello Performer platform ("Platform"). The Platform is operated by Hello Performer Global Oy, (Business ID 3605914-3) ("Platform Operator").
The User agrees to these Terms by registering or using the Platform.
1. Definitions
1.1 Customer means a company or entity engaged in business activities that uses the Platform to purchase, book, or participate in events or services.
1.2 Service Provider means a natural person or legal entity that provides event-related services through the Platform.
1.3 Event means a physical, digital, or hybrid event that is advertised, marketed, sold, or managed through the Platform.
1.4 Commission means the fee retained by the Platform operator from the price paid by the Customer.
1.5 Content means all material produced by a user on the Platform or shared through the Platform, including but not limited to text, images, videos, audio recordings, reviews, comments, and feedback.
1.6 Payment Service Provider (PSP) means a third party that provides payment intermediation and processing services on the Platform.
2. Role of the Platform
2.1. The Platform Operator provides a digital marketplace where Customers and Service Providers can enter into mutual agreements.
2.2. The Platform Operator:
- is not a party to the agreement between the Customer and the Service Provider
- does not offer or provide the services listed on the Platform
- does not act as an employer, principal, agent, or insurer
2.3. All rights and obligations regarding the service arise between the Customer and the Service Provider.
2.4. The Platform Operator is not liable for and does not guarantee:
- the quality, suitability, or legality of the Services;
- The Service Provider's performance;
- The accuracy of the information provided by the Service Provider.
2.5. The Platform Operator does not verify or monitor the Service Providers' professional qualifications, licenses, insurance, or the safety of their services, unless this has been specifically agreed upon.
3. User Account and Registration
3.1 The user must provide accurate, up-to-date, and complete information and keep it current.
3.2 The user is responsible for the security of their credentials and the use of their account.
3.3 Business customers and Service Providers warrant that the person registering has the authority to bind the relevant party to these Terms.
3.4 The Platform Administrator has the right to issue a warning to the user, restrict access for a specified period, suspend, or terminate the user account if the user violates these Terms or applicable law. Unless the violation is material or repeated, the Platform operator will primarily seek to give the user an opportunity to correct their conduct.
3.5 By using the Platform, the user warrants that they are legally competent and that their activities are not restricted by applicable economic sanctions, trade restrictions, or other similar legislation in the European Union or any other applicable jurisdiction.
4. Service Providers
4.1 The Service Provider operates as an independent business operator or legal entity.
4.2 The Service Provider enters into service agreements directly with the Customers.
4.3 The Service Provider is solely responsible for ensuring that:
- it has the right to offer the services listed on the Platform;
- all information, prices, and terms of service provided on the Platform are accurate;
- the Service Provider complies with applicable laws (including taxation, event safety, permits, and copyrights);
- the service is delivered as agreed.
4.4 The Service Provider is responsible for all risks associated with the execution of the event.
4.5 The Service Provider must ensure that its marketing is not misleading and complies with marketing legislation.
4.6 The Service Provider grants the Platform Operator a non-exclusive, royalty-free right to use and display its content in connection with the Platform's operations and marketing.
4.7 The Service Provider must have liability insurance sufficient for the nature and scope of its operations, covering personal injury and property damage arising from the implementation of the event or service.
4.8 The Service Provider is liable for all damages arising from the event or the performance of the service.
4.9 The platform operator does not monitor or guarantee the quality or safety of the services.
5. Customers
5.1 The customer is responsible for ensuring that the booked or purchased event or service meets their needs.
5.2 The customer enters into an agreement directly with the Service Provider.
6. Payments and Commissions
6.1 The Service Provider sets the prices for its services independently.
6.2 The Platform Operator may charge commissions and service fees.
6.3 The platform operator acts as a payment intermediary and collector on behalf of the Service Provider with regard to payments.
6.4 A third-party payment service provider is used to process payments.
6.5 The Platform Operator is not liable for the payment service provider's operations, disruptions, or errors, unless otherwise required by mandatory legislation.
6.6 Payments, refunds, and cancellations related to individual reservations are specified in more detail in the reservation terms and conditions.
7. Use of the Platform and Prohibited Activities
7.1 The platform may provide tools for communication, networking, event planning, and collecting feedback.
7.2 The User is responsible for the content they produce and warrants that it does not infringe upon the rights of third parties or violate the law.
7.3 The user agrees to use the Platform in accordance with the law, good practice, and these Terms.
7.4 The following, among other things, are prohibited on the Platform:
- publishing illegal, misleading, offensive, or fraudulent content;
- discriminatory, threatening, harassing, or inappropriate behavior toward other users;
- creating fake profiles or providing misleading information;
- creating multiple user accounts to circumvent the rules;
- using spam, malware, or automated systems to disrupt the Platform;
- actions that infringe upon intellectual property rights or other third-party rights.
7.5 The Platform administrator is not obligated to review user-generated content in advance but reserves the right to remove prohibited content on its own initiative and take necessary measures in response to violations.
7.6 Users will be notified of significant moderation decisions, and users have the right to request a review of the decision within a reasonable timeframe.
7.7 Where applicable, the user may have the right to refer the matter to a dispute resolution body under the EU Digital Services Act (DSA).
7.8 Users and third parties have the right to report content on the Platform that is suspected of being illegal or in violation of these Terms. Reports should be sent to: support@helloperformer.com, and they will be addressed within a reasonable timeframe in accordance with applicable law.
7.9 Users agree not to circumvent the Platform regarding contacts established through the Platform for a period of 6 months. A breach of this provision shall be considered a material breach of contract.
8. Intellectual Property Rights
8.1 All intellectual property rights related to the Platform belong exclusively to the Platform operator or its licensors.
8.2 The User retains the rights to their own content but grants the necessary rights of use for the Platform's operation.
8.3 The User may not:
- decompile or modify the Platform's source code;
- use automated systems, bots, or scraping techniques without the Platform operator's permission;
- disrupt or compromise the Platform's operation or security.
8.4 Violation of these terms may result in the immediate termination of access rights.
9. Data Protection
9.1 Personal data is processed in accordance with the EU General Data Protection Regulation (GDPR) and Finnish data protection legislation
9.2 The Platform operator acts as the data controller for its own user data and as a data processor on behalf of the Service Provider for event-specific data.

10. Limitation of Liability
10.1 The Platform Operator shall not be liable for any consequential or indirect damages, unless otherwise required by law.
10.2 The Platform Operator is not liable for the Service Provider's performance or failure to perform, nor for the occurrence or quality of the event.
10.3 The Platform Operator's total liability is limited to the amount of the Commission charged for the specific event or service in question.
10.4 Mandatory legislation may limit these limitations of liability.
11. Indemnification and Release from Liability
11.1 The Service Provider agrees to indemnify the Platform Operator for any damages and claims arising from a breach of these Terms of Use or the law, or from third-party claims related to an event or service.
11.2 The Customer agrees to indemnify and hold harmless the Platform Operator, its group companies, management, employees, and partners from and against all claims, damages, and costs (including reasonable attorneys' fees) arising from:
- a breach of these terms;
- unlawful conduct;
- inaccurate information provided by the Customer; or
- the agreement between the Customer and the Service Provider or disputes related thereto.
The Platform Operator has the right to manage the defense of any claim, and the Customer agrees to provide reasonable assistance.
12. Force Majeure
The parties shall be released from liability if the failure to fulfill their obligations is due to force majeure.
13. Term and Termination of the Agreement
13.1 These Terms remain in effect for as long as the user uses the Platform.
13.2 The Platform operator may terminate the user's access with reasonable notice or immediately in the event of a material breach. Termination of the Agreement does not release the Service Provider from any obligations that have already arisen.
14. Changes
The Platform operator may amend these Terms by providing advance notice of the changes.
15. Governing Law and Dispute Resolution
15.1 These Terms are governed by Finnish law.
15.2 Disputes between the Customer and the Service Provider shall be resolved between them.
15.3 Other disputes shall be resolved in the Helsinki District Court.
16. General
16.1 The Platform Operator has the right to transfer these Terms or the rights and obligations based on them to a group company or in connection with a business transfer.
16.2 If any provision of these Terms is found to be invalid, the remaining provisions shall remain in effect.
